ATN Radar Firmware and APP BETA-TEST Agreement

GENERAL TERMS AND CONDITIONS

  • ATN has developed ATN RADAR FIRMWARE AND APP - a software program as an upgrade to the currently-existing ATN apps and firmware for its smart 4th Gen products.
  • ATN offers the software for use to its users free of charge as a Beta Test version. Log files may be collected by the company in order to further improve the software.
  • Users agree to serve as Beta testers and provide feedback to ATN of their experience via a small questionnaire provided at a later time by the company.

In consideration of the mutual covenants and premises herein contained, the parties agree as follows:

  • Consideration: User/Licensee will serve as beta-tester and will receive as compensation 1 free ATN Radar App and Radar Firmware Update as full compensation for their beta-test services.
  • Notifications: User/Licensee will notify ATN of problems and suggestions for enhancements which come to Licensee's attention during the use of this Beta, and hereby assigns to ATN all right, title and interest to any such enhancements incorporated into the Software including, without limitation, all intellectual property rights.
  • Ownership: Licensee agrees that Software remains property of ATN. Licensee is granted a license to use and test it in the normal course of their business/activities. American Technology Network Corporation Software Beta Test Agreement

Beta-Test Warning: Software is pre-release code and is not at the level of performance or compatibility of a final, generally available product offering. Software may not operate correctly and may be substantially modified prior to first commercial shipment, or withdrawn.

Disclaimer of Warranty: Software is provided "AS IS" without warranty of any kind and is a beta-test version. The entire risk arising out of the use or performance of Software remains with Licensee. In no event shall ATN be liable for any damage whatsoever arising out of the use of or inability to use Software, even if ATN has been advised of the possibility of such damages.

Location: This Agreement shall be governed, construed and enforced in accordance with the laws of the United States of America and of the State of California.

Arbitration. All claims and disputes arising under or relating to this Agreement are to be settled by binding arbitration in the state of California. The arbitration shall be conducted on a confidential basis pursuant to the Commercial Arbitration Rules of the American Arbitration Association. Any such arbitration shall be conducted by an arbitrator experienced in computer software and shall include a written record of the arbitration hearing. The parties reserve the right to object to any individual who shall be employed by or affiliated with a competing organization or entity. An award of arbitration may be confirmed in a court of competent jurisdiction.

Licensee shall comply with all applicable federal, state and local laws, regulations, and ordinances in connection with its activities pursuant to this Agreement.

Failure of ATN to enforce a right under this Agreement shall not act as a waiver of that right or the ability to later assert that right relative to the particular situation involved.

If any provision of this Agreement shall be found by a court to be void, invalid or unenforceable, the same shall be reformed to comply with applicable law or stricken if not so conformable, so as not to affect the validity or enforceability of this Agreement.
